APPLICABLE LAW
By using any OB Desk Inc. Service, you agree that the laws of the State of Washington together with the Federal Arbitration Act and other applicable United States federal law, without reference to rules governing choice of laws or the Convention on Contracts for the International Sale of Goods, will govern these Terms of Use and any dispute of any sort that might arise between you and OB Desk Inc..
DISPUTES
Any dispute relating in any way to your use of this or any other OB Desk Inc. Services will be resolved by binding arbitration as described in this “Disputes” section, rather than in court, except that (I) you may assert claims in a small claims court that is a state or Federal court in King County, Washington if your claims qualify and (ii) you or we may bring suit in any state or Federal court in King County, Washington, submitting to the jurisdiction of such court and waiving our respective rights to any other jurisdiction, to enjoin infringement or other misuse of intellectual property rights. There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow the provisions of these Terms of Use as a court would. To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to our registered agent, CSC Services of Nevada, Inc., 2215-B Renaissance Drive, Las Vegas, NV 89119. The arbitration will be conducted by the American Arbitration Association (AAA) under its rules, including the AAA's Supplementary Procedures for Consumer-Related Disputes. Payment of all filing, administration and arbitrator fees will be governed by the AAA's rules. We will reimburse those fees for claims totaling less than $10,000 unless the arbitrator determines the claims are frivolous. Likewise, OB Desk Inc. will not seek attorneys' fees and costs from you in arbitration unless the arbitrator determines the claims are frivolous. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed location. OB Desk Inc. and you each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim proceeds in court rather than in arbitration. OB Desk Inc. and you each waive any right to a jury trial.

The following additional terms apply to any software (including any updates or upgrades to the software and any related documentation) that we make available to you from time to time for your use in connection with OB Desk Inc. Services (the “OB Desk Inc. Software”):
⦁ Use of the OB Desk Inc. Software. You may use OB Desk Inc. Software solely for purposes of enabling you to use and enjoy OB Desk Inc. Services as provided by OB Desk Inc., and as permitted by these Terms of Use and any Service Terms. You may not incorporate any portion of the OB Desk Inc. Software into your own programs or compile any portion of it in combination with your own programs, transfer it for use with another service, or sell, rent, lease, lend, loan, distribute or sub-license the OB Desk Inc. Software or otherwise assign any rights to the OB Desk Inc. Software in whole or in part. You may not use the OB Desk Inc. Software for any illegal purpose. We may cease providing any OB Desk Inc. Software and we may terminate your right to use any OB Desk Inc. Software at any time. Your rights to use the OB Desk Inc. Software will automatically terminate without notice from us if you fail to comply with any of these Terms of Use and any Service Terms. You may not, and you will not encourage, assist or authorize any other person to copy, modify, reverse engineer, decompile or disassemble, or otherwise tamper with, the OB Desk Inc. Software, whether in whole or in part, or create any derivative works from or of the OB Desk Inc. Software.
⦁ Updates. In order to keep the OB Desk Inc. Software up-to-date, we may offer automatic or manual updates at any time and without notice to you.
⦁ Export Regulations; Government End Users. You must comply with all export and re-export restrictions and regulations of the Department of Commerce and other United States agencies and authorities that may apply to the OB Desk Inc. Software. If you are a U.S. Government end user, we are licensing the OB Desk Inc. Software to you as a "Commercial Item" as that term is defined in the U.S. Code of Federal Regulations (see 48 C.F.R. § 2.101), and the rights we grant you to the OB Desk Inc. Software are the same as the rights we grant to all others under these Terms of Use.
Terms & Conditions
Each item in your order is sold by OB Desk Inc. Export Sales LLC ("OB Desk Inc. Export") or the merchant that the item is specified as sold by ("Merchant").
Those items for shipment to countries outside of the U.S. may be subject to taxes, customs duties and fees levied by the destination country ("Import Fees").
The recipient of the shipment is the importer of record in the destination country and is responsible for all Import Fees.
With respect to each item for which Import Fees have been calculated, you authorize OB Desk Inc. Export or Merchant (as applicable) to designate a carrier ("Designated Carrier") to act as your agent with the relevant customs and tax authorities in the destination country, to clear your merchandise, process and remit your actual Import Fees for such item.
"Import Fees Deposit" represents an estimate of the Import Fees that will be levied on the items in your order for shipment to countries outside of the U.S. By placing your order, you agree to allow OB Desk Inc. Export and/or Merchant (as applicable) to collect the Import Fees Deposit for the applicable items in your order. This deposit will be used, on your behalf, to reimburse the Designated Carriers for the import fees that they have paid on your behalf to the appropriate authorities of the destination country.
You further agree that the Designated Carriers may disclose to OB Desk Inc. Export or Merchant (as applicable) the amount of actual Import Fees levied on the item you have purchased from OB Desk Inc. Export and/or Merchant ("Actual Import Fees"). In the event that the Import Fees Deposit exceeds the Actual Import Fees, OB Desk Inc. Export or Merchant (as applicable) will refund the difference to you.
In the case of gifts or other purchases made on behalf of another recipient, you also agree to grant the foregoing authorizations on behalf of the recipient designated in your order.
To obtain details regarding the Actual Import Fees, or to obtain documentation or receipts in connection with customs clearance, you may contact the Designated Carrier specified in your shipment confirmation.
These terms and conditions are in addition to the standard Conditions of Use of the OB Desk Inc. website. Pursuant to those terms, title and risk of loss for the items transfer to the recipient upon delivery to the common carrier in the United States.
Please note that Merchants participating in the International Direct program may have policies that differ from OB Desk Inc. Export's terms and conditions. For items you have purchased from a Merchant, please see the applicable Merchant's policies for any other terms and conditions that may apply to your purchase of such items.
Limitations
For products shipped internationally, please note that any manufacturer warranty may not be valid; manufacturer service options may not be available; product manuals, instructions and safety warnings may not be in destination country languages; the products (and accompanying materials) may not be designed in accordance with destination country standards, specifications, and labeling requirements; and the products may not conform to destination country voltage and other electrical standards (requiring use of an adapter or converter if appropriate). You are responsible for assuring that the product can be lawfully imported to the destination country. When ordering from OB Desk Inc., the recipient is the importer of record and must comply with all laws and regulations of the destination country.
Privacy
Your privacy is important to us, and we know that you care about how information about your order is used and shared. We would like our international customers and customers shipping products internationally to be aware that cross-border shipments are subject to opening and inspection by customs and/or postal authorities.
Also, we may provide certain order, shipment, and product information, such as titles, to our international carriers, and such information may be communicated by the carriers to customs and/or postal authorities in order to facilitate customs clearance and comply with local laws.
If the order is a gift, the package is marked "Gift," but the cost of the item is still stated on the customs form.

OB Desk Inc. Currency Converter for Sellers Terms and Conditions
Use of OB Desk Inc. Currency Converter for Sellers is governed by the OB Desk Inc. seller service agreement (e.g. OB Desk Inc. Services Business Solutions Agreement, Program Agreement or Marketplace Participation Agreement) that you have entered into with OB Desk Inc. Services LLC (
"we", "us", "our"
), as supplemented by the following terms and conditions. In addition to OB Desk Inc. Currency Converter for Sellers, the OB Desk Inc. seller service agreement governs your offering of products for purchase on OB Desk Inc. (the "____________") and our fulfillment of your products, including disbursement of any funds (
"Disbursement"
) to the bank account that you specify in your OB Desk Inc. seller account (
"Your Bank Account"
), as well as any refunds, fees, costs and reimbursements due to us (
"Reverse Transactions"
).
⦁ When you elect to use OB Desk Inc. Currency Converter for Sellers, you are only asking us to change the currency in which we make each Disbursement (and any necessary Reverse Transaction) to the currency of the country in which Your Bank Account is located (
"Your Bank Location Currency"
) rather than the currency paid by customers on the OB Desk Inc. Site. You are not tendering payment in one currency and receiving from us another currency.
⦁ Any conversion from or to Your Bank Location Currency using OB Desk Inc. Currency Converter for Sellers will take place at the exchange rate received by us from our bank service provider at the time we initiate the Disbursement or Reverse Transaction (
"Applicable Exchange Rate"
). The Applicable Exchange Rate includes all fees and charges for your use of OB Desk Inc. Currency Converter for Sellers. Exchange rates fluctuate under market conditions that are not under our control, so the Applicable Exchange Rate for each Disbursement and each Reverse Transaction might be different. The Applicable Exchange Rate only applies at the time of each Disbursement or Reverse Transaction and may change for future Disbursements and Reverse Transactions.
⦁ In addition, we may show an estimated amount in Your Bank Location Currency for each pending Disbursement and/or Reverse Transaction, based on the exchange rate received by us from our bank service provider at the time we estimate the amount (the
"Estimated Exchange Rate"
). Please also note that the Estimated Exchange Rate may differ from the Applicable Exchange Rate due to fluctuations under market conditions that are not under our control.
⦁ You can view the Estimated Exchange Rate for each pending Disbursement and Reverse Transaction, as well as the Applicable Exchange Rate for each completed Disbursement and Reverse Transaction, by clicking the "View Exchange Rate" link in your OB Desk Inc. seller account.
⦁ You may discontinue use of the OB Desk Inc. Currency Converter for Sellers at any time. If you do so, you must first update the information for Your Bank Account to include a bank account whose local currency is the same as the currency of the OB Desk Inc. Site. Subsequent Disbursements may take up to an extra 14 days to allow for the updated bank account information to take effect.
⦁ When using OB Desk Inc. Currency Converter for Sellers, you bear the risk, if any, that the exchange rate at the time of sale of your products on the OB Desk Inc. Site, or at the time when any refund, reimbursement, fee or cost is incurred, differs from the Estimated Exchange Rate and/or the Applicable Exchange Rate. Your use of OB Desk Inc. Currency Converter for Sellers and these terms and conditions are independent of, and do not provide any additional rights with respect to, your contractual obligations to buyers of your products on the OB Desk Inc. Site. The buyer of your products on the OB Desk Inc. Site is neither involved in providing OB Desk Inc. Currency Converter for Sellers to you, nor a party to these terms and conditions.
⦁ We may make changes to OB Desk Inc. Currency Converter for Sellers and these terms and conditions at any time and solely at our discretion. Any changes will be effective upon the posting of such changes on your OB Desk Inc. seller account or on the OB Desk Inc. Site, and you are responsible for reviewing these locations and informing yourself of all applicable changes or notices. All notice of changes to OB Desk Inc. Currency Converter for Sellers and/or these terms and conditions will be posted for at least 30 days. You should refer regularly to your OB Desk Inc. seller account and the OB Desk Inc. Site respectively to understand the current terms and conditions related to OB Desk Inc. Currency Converter for Sellers. YOUR CONTINUED USE OF OB DESK INC. CURRENCY CONVERTER FOR SELLERS AFTER OUR POSTING OF ANY CHANGES WILL CONSTITUTE YOUR ACCEPTANCE OF SUCH CHANGES OR MODIFICATIONS. IF YOU DO NOT AGREE TO ANY CHANGES TO OB DESK INC. CURRENCY CONVERTER FOR SELLERS AND/OR THESE TERMS AND CONDITIONS, YOU MUST NOT CONTINUE TO USE OB DESK INC. CURRENCY CONVERTER FOR SELLERS. You will be subject to the terms and conditions in force at the time that you use OB Desk Inc. Currency Converter for Sellers, unless any change to these terms and conditions is required to be made by law or government authority (in which case it will apply to all orders as required by that law or government authority). If any of these terms and conditions is deemed invalid, void, or for any reason unenforceable by a court, that term or condition will be deemed severable and will not affect the validity and enforceability of any remaining term or condition.
⦁ Our failure to enforce your strict performance of any provision of these terms and conditions will not constitute a waiver of our right to enforce such provision or any other provision of these terms and conditions subsequently.
⦁ We retain the right to immediately suspend or terminate your use of OB Desk Inc. Currency Converter for Sellers solely at our discretion.
Fees and Pricing
⦁ When your item sells, OB Desk Inc. Payments collects the amount paid by the buyer (including the item price and any shipping, gift wrap, or other charges).
⦁ OB Desk Inc. Payments deducts the greater of the applicable referral fee percentage or applicable per-item minimum referral fee calculated on (I) the item price, and (ii) any gift wrap charges, in each case excluding any taxes collected through OB Desk Inc. tax collection services, plus a variable closing fee. Sellers who do not pay a monthly subscription fee also pay a per item fee for each item sold.
⦁ OB Desk Inc. platform shipping rates apply to all items sold. Only Professional sellers can offer gift wrap.

Prohibited Seller Activities and Actions
These Prohibited Seller Activities and Actions are established to maintain a selling platform that is safe for buyers and fair for sellers of both products and services. Failure to comply with the terms of this policy can result in cancellation of listings, suspension from use of OB Desk Inc. tools and reports, and/or the removal of selling privileges.
Note
: This policy is in addition to, and in no way limits, your other obligations pursuant to your seller agreement or otherwise.
General Guidelines
The following guidelines apply to both sellers of products and services. For guidelines specific to products or services, see the information following this section.

Attempts to divert transactions or buyers
: Any attempt to circumvent the established OB Desk Inc. sales process or to divert OB Desk Inc. users to another website or sales process is prohibited. Specifically, any advertisements, marketing messages (special offers) or "calls to action" that lead, prompt, or encourage OB Desk Inc. users to leave the OB Desk Inc. website are prohibited. Prohibited activities include the following:
⦁ The use of email intended to divert customers away from the OB Desk Inc. sales process.
⦁ The inclusion of hyperlinks, URLs or web addresses within any seller generated confirmation email messages or any product/listing description fields that are intended to divert customers away from the OB Desk Inc. sales process.
⦁
Unauthorized & improper business names
: The Business Name (identifying a seller’s business entity on OB Desk Inc.) must be a name that: accurately identifies the seller; is not misleading; and the seller has the right to use (that is, the name cannot include the trademark of, or otherwise infringe on, any trademark or other intellectual property right of any person). Furthermore, a seller cannot use a business name that contains an email suffix such as .com, .net, .biz, and so on.
⦁
Inappropriate email communications
: All email communications with buyers must be courteous, relevant and appropriate. Unsolicited email communications with OB Desk Inc. users, email communications other than as necessary for order fulfillment and related customer service, and emails containing marketing communications of any kind (including within otherwise permitted communications) are prohibited.
⦁
Direct email addresses
: Buyers and sellers may communicate with one another via the Buyer-Seller Messaging Service, which assigns unique OB Desk Inc.-generated email addresses to both parties. Sellers are prohibited from providing or soliciting direct, non-OB Desk Inc.-generated email addresses on the OB Desk Inc. website or in correspondence through the Buyer-Seller Messaging Service.

Operating multiple seller accounts
: Operating and maintaining multiple Seller Central accounts is prohibited. If you have a legitimate business need for a second account, you can apply for an exception to this policy. From the bottom of any page in your seller account Select

Misuse of the OB Desk Inc. selling platform
: All sellers are able to access and use the OB Desk Inc. selling platform. If a seller uploads excessive amounts of data repeatedly, or otherwise uses the platform in an excessive or unreasonable way, it can create a disproportional load on the platform and impair the ability of other sellers to easily access and use the platform. If a seller is misusing or making excessive or unreasonable use of the OB Desk Inc. selling platform, OB Desk Inc. may in its sole discretion restrict or block the seller’s access to product feeds or any other platform functions that are being misused until the seller stops its misuse.

Misuse of ratings, feedback, or reviews
: Any attempt to manipulate ratings, feedback, or reviews is prohibited.
⦁
Ratings and feedback
: The rating and feedback features allow buyers to evaluate the overall performance of a seller, helping sellers to develop a reputation within the OB Desk Inc. Marketplace. You may not post abusive or inappropriate feedback or include personal information about a transaction partner. This also includes posting ratings or feedback to your own account. You may request feedback from a buyer, however you may not pay or offer any incentive to a buyer for either providing or removing feedback.

Reviews
: Reviews are important to the OB Desk Inc. Marketplace, providing a forum for feedback about product and service details and reviewers' experiences with products and services — positive or negative. You may not write reviews for products or services that you have a financial interest in, including reviews for products or services that you or your competitors sell. Additionally, you may not provide compensation for a review other than a free copy of the product. If you offer a free product, it must be clear that you are soliciting an unbiased review. The free product must be provided in advance. No refunds are permitted after the review is written. You may not intentionally manipulate your products' rankings, including by offering an excessive number of free or discounted products, in exchange for a review. Review solicitations that ask for only positive reviews or that offer compensation are prohibited. You may not ask buyers to remove negative reviews.

Misuse of sales rank
: The best seller rank feature allows buyers to evaluate the popularity of a product. You may not solicit or knowingly accept fake or fraudulent orders. This includes placing orders for your own products. You may not provide compensation to buyers for purchasing your products or provide claim codes to buyers for the purpose of inflating sales rank. In addition, you may not make claims regarding a product's best seller rank in the product detail page information, including the title and description.

Misuse of the OB Desk Inc. A-to-z Guarantee
: Any misuse of the OB Desk Inc. A-to-z Guarantee claims process is prohibited. Sellers who have an excessive number or dollar amount of A-to-z Guarantee claims are subject to termination. In cases where a buyer is dissatisfied with a product or service, buyers can contact the seller to make arrangements for a refund, return, or exchange, as appropriate. OB Desk Inc. reserves the right to seek reimbursement from the seller if we reimburse a buyer under the terms of the OB Desk Inc. A-to-z Guarantee.
Additional Guidelines for Sellers
The following guidelines apply to sellers of products:

Shipment of BMVD Products
: Books, Music, Video, and DVD products offered through OB Desk Inc. must be shipped within two business days of the date the order confirmation is made available to you.
⦁
Post-transaction price manipulation and excessive shipping fees
: Any attempt to increase the sale price of an item after a transaction has been completed is prohibited. Additionally, sellers cannot set excessive order fulfillment and shipping costs.
⦁
Matching product offerings inaccurately
: When listing items for sale using an existing product detail page, the product being offered must be listed on a product detail page that accurately describes the product in all respects, including (but not limited to) the following attributes: manufacturer, edition, binding, version, format, or player compatibility. Sellers may not match their item to a detail page with a different ISBN, UPC, EAN, or other external identifier.
Exception: Club editions of audio CDs and rental editions of DVD and Blu-ray discs should be listed against the detail page for the standard edition of the CD, DVD, or Blu-ray, even if the UPCs of the two editions are different, if the following criteria are met:
⦁ The club or rental edition is listed in Used condition;
⦁ The content on both editions is identical; and
⦁ A page with the UPC for the club or rental edition does not already exist in our catalog. Use the listing comments to indicate that the item is a club edition. Format of the products (CD, DVD, and Blu-ray) must be identical.
⦁ Use the listing comments to indicate that the item is a club or rental edition.
⦁
Creating duplicate product detail pages
: Creating a product detail page for a product already in the OB Desk Inc. catalog is prohibited.
⦁
Creating separate listings
: Sellers may not create separate listings for identical copies of the same item. Individually listing the same item several times is confusing for buyers and frustrating for other sellers. Sellers must use the quantity field to offer multiple copies of the same item, and only list separately if offering the same item in different conditions.
⦁ Pre-sells of BMVD Products: Sellers should not list or match against Books, Music, Video, or DVD products that OB Desk Inc. designates as pre-orderable. BMVD Products offered through OB Desk Inc. must be shipped within two business days of the date the order confirmation is made available to you. It is also important to maintain accurate inventory records, as instances of "stock-outs" could be reflected in your seller feedback rating. If an item you are offering will not be available for immediate shipping upon order, either cancel the order or alert the buyer, and ⦁ initiate a refund if necessary. OB Desk Inc. will immediately cancel any seller listing for Books, Music, Video or DVD items that OB Desk Inc. designates as pre-orderable.
Additional Guidelines for Service Providers

Upselling
: The service provider must perform the service as outlined in the scope of work on the service detail page on the date the service was purchased. The service provider may not solicit additional product, parts or service orders before, during or after the service call.
If the buyer requests services, parts, or products outside of the defined scope of work, then the service provider may fulfill that request and charge the buyer directly.

: For in-home services, if you send a non-approved technician to fulfill a service order, your selling privileges may be removed

About Customs, Duties & Taxes
When ordering from OB Desk Inc., you're responsible for assuring the product can be lawfully imported to the destination country.
The recipient is the importer of record and must comply with all laws and regulations of the destination country. Orders shipped outside of the United States may be subject to import taxes, customs duties and fees levied by the destination country. The recipient of an international shipment may be subject to such import taxes, customs duties and fees, which are levied once a shipment reaches the recipient's country. Additional charges for customs clearance must be fulfilled by the recipient; OB Desk Inc. has no control over these charges, nor can OB Desk Inc. predict what they may be. Customs policies vary widely from country to country; you should contact your local customs office for more information. When customs clearance procedures are required, it can cause delays beyond our original delivery estimates.

⦁ Customs offices in some countries require the importer of record to provide a particular form of identification before releasing a shipment. You may be required to provide an identification number such as a Unique Identification Number, CPF, or Tax ID.

Supply Chain Standards
OB Desk Inc. is strongly committed to conducting its business in a lawful and ethical manner, including engaging with suppliers that are committed to the same principles. We require suppliers in our manufacturing supply chain to comply with our Supplier Code of Conduct* ("Supplier Code"), which is detailed below. OB Desk Inc. also expects our suppliers to hold their suppliers and subcontractors to the standards and practices covered by our Supplier Code. Our products must be manufactured in a manner that meets or exceeds the expectations of OB Desk Inc. and our customers as reflected in our Supplier Code.
Here are some of the key areas we focus on:

⦁ Appropriate working hours and overtime pay
⦁ Prevention of child labor or forced labor
⦁ Fair and ethical treatment, including non-discrimination
To ensure that our audit protocol and standards incorporate best-in-class practices, we conduct formal benchmarking with industry experts to review OB Desk Inc. criteria against globally-recognized international standards and other businesses in the retail and electronics industries. We work closely with a leading independent specialist in designing, operating, and continually improving our audit program. OB Desk Inc. managers participate directly in many of the on-site audits. Audit reports and findings are reviewed regularly by the senior leadership of the appropriate business and corrective action plans are implemented as needed.
We partner closely with our suppliers to drive continuous improvement in worker conditions. We train our suppliers on the standards and conduct required by our Supplier Code. We use independent auditors to audit suppliers and verify compliance, including through confidential worker interviews. We audit all suppliers at least once per year to monitor continued compliance and improvement; many sites are audited multiple times a year, including for follow-up audits to address specific findings. OB Desk Inc. may terminate its relationships with any supplier that violates our Supplier Code or does not cooperate with our auditors.
Every site audit includes:
⦁ Inspection of all areas of the site and any living quarters;
⦁ Confidential worker interviews conducted without site management present;
⦁ Review and analysis of site documents to assess workers' age, contracts, compensation, working hours, and workplace conditions;
⦁ Audit and review of current licenses and any past compliance issues; and
⦁ Identification of areas for improvement and development of a remediation plan.
Upon completion of an audit, a supplier must promptly provide a detailed remediation plan for each issue identified. OB Desk Inc. tracks remediation closely and conducts follow-up audits for significant issues. Between audits, OB Desk Inc. employees often meet on-site with supplier managers to discuss open issues and remediation progress.
Supplier Code of Conduct
Guiding Principle
. Our suppliers’ business and labor practices must comply with all applicable laws, as well as the requirements and principles of this Supplier Code. Suppliers must comply with the standards of this Supplier Code even when this Supplier Code exceeds the requirements of applicable law.
Child Labor
. OB Desk Inc. will not tolerate the use of child labor. Our suppliers must engage workers whose age the greater is of: (I) 15, (ii) the age of completion of compulsory education, or (iii) the minimum age to work in the country where work is performed. Furthermore, workers under the age of 18 must not perform hazardous work. OB Desk Inc. supports the development of legitimate workplace apprenticeship programs that comply with applicable laws and this Supplier Code.
Involuntary Labor, Human Trafficking, and Slavery
. Our suppliers must not use forced labor - slave, prison, indentured, bonded, or otherwise. Our suppliers must not traffic workers or in any other way exploit workers by means of threat, force, coercion, abduction, or fraud. Working must be voluntary, and workers must be free to leave work and terminate their employment or other work status with reasonable notice. Our suppliers must bear or reimburse to their workers the cost of all excessive recruiting, hiring, or other similar fees charged to workers, and all fees and expenses charged to workers must be disclosed to OB Desk Inc. and the workers in advance. Our suppliers must not require workers to surrender government issued identification, passports, or work permits as a condition of working, and our suppliers may only temporarily hold onto such documents to the extent reasonably necessary to complete legitimate administrative and immigration processing. Workers must be given clear, understandable contracts regarding the terms and conditions of their engagement in a language understood by the worker. Suppliers must ensure that each of its staffing or recruiting agencies comply with this Supplier Code and with the more stringent of the applicable laws of the country where work is performed and the worker’s home country.
Safety and Health
. Our suppliers must provide workers with a safe and healthy work environment, and suppliers must, at a minimum, comply with applicable laws regarding working conditions and with the standards below.
Occupational Safety. Suppliers must educate workers on safety procedures and also control worker exposure to potential physical safety hazards by implementing physical guards, barriers, and/or engineering and administrative controls. Workers must be informed and receive appropriate education in advance if they will be working with (or otherwise exposed to) hazardous or dangerous conditions or materials. In addition, workers must be given appropriate personal protective equipment and educated and trained on the proper use of such equipment. Suppliers must manage, track, and report occupational injuries and illnesses.
Physically Demanding Work. Suppliers must continually identify, evaluate, and control physically demanding tasks to ensure that worker health and safety is not jeopardized.
Emergency Preparedness and Response. Suppliers must identify and plan for emergency situations and implement and train their workers on response systems, including emergency reporting, alarm systems, worker notification and evacuation procedures, worker training and drills, first-aid supplies, fire detection and suppression equipment, and unblocked exit facilities.
Machine Safeguarding. Suppliers must implement a regular machinery maintenance program. Production and other machinery must be routinely evaluated for safety hazards.
Sanitation and Housing. Workers must be provided with reasonable access to clean toilet facilities and potable drinking water. If suppliers provide a canteen or other food accommodations, they must include sanitary food preparation, storage, and eating accommodations. If suppliers provide residential facilities for their workers, they must provide clean and safe accommodations. In such residential facilities, workers must be provided with emergency egresses, reasonable and secure personal space, entry and exit privileges, reasonable access to hot water for bathing, adequate heat and ventilation, and reasonable transportation to and from work facilities (if not reasonably accessible by walking).
Wages and Benefits
. Our suppliers must pay their workers in a timely manner and provide compensation (including overtime pay and benefits) that, at a minimum, satisfy applicable laws. Suppliers must provide to their workers the basis on which workers are being paid in a timely manner via pay stub or similar documentation. Deductions from wages as a disciplinary measure are not permitted.
Working Hours
. Except in unusual or emergency situations, (I) suppliers must not require a worker to work more than 60 hours per week, including overtime, and (ii) each worker must be entitled to at least one day off for every seven-day work period. In all circumstances, working hours must not exceed the maximum amount permitted by law.
Anti-discrimination
. Conditions of working must be based on an individual’s ability to do the job, not on personal characteristics or beliefs. Our suppliers must not discriminate on the basis of race, color, national origin, gender, sexual orientation, religion, disability, age, political opinion, pregnancy, marital or family status, or similar factors in hiring and working practices such as job applications, promotions, job assignments, training, wages, benefits, and termination. Suppliers must not subject workers or applicants to medical tests that could be used in a discriminatory manner.
Fair Treatment
. All workers must be treated with respect and dignity. Our suppliers must not engage in or permit physical, verbal, or psychological abuse or coercion, including threats of violence, sexual harassment, or unreasonable restrictions on entering or exiting work and residential facilities. Workers must be free to voice their concerns to OB Desk Inc. or its auditors, and allowed to participate in the OB Desk Inc. audit process, without fear of retaliation by supplier management.
Immigration Compliance
. Our suppliers may only engage workers who have a legal right to work. If suppliers engage foreign or migrant workers, such workers must be engaged in full compliance with the immigration and labor laws of the host country.
Freedom of Association
. Our suppliers must respect the rights of workers to establish and join a legal organization of their own selection. Workers must not be penalized or subjected to harassment or intimidation for the non-violent exercise of their right to join or refrain from joining such legal organizations.
Ethical Behavior
No Bribery. Our suppliers must not offer nor accept bribes or other means of obtaining undue or improper advantages to anyone for any reason, whether in dealings with governments or the private sector. Our suppliers must not induce OB Desk Inc. employees to violate our Code of Business Conduct and Ethics posted
Anti-Corruption. Suppliers must comply with applicable anti-corruption laws, including the United States Foreign Corrupt Practices Act and the United Kingdom Bribery Act, and not offer anything of value, either directly or indirectly, to government officials in order to obtain or retain business. Suppliers must not make illegal payments to government officials themselves or through a third party. Suppliers who are conducting business with the government officials of any country must follow OB Desk Inc.'s guidance on the law governing payments and gifts to governmental officials.
Whistleblower Protections. Suppliers must protect worker whistleblower confidentiality and prohibit retaliation against workers who report workplace grievances. Suppliers must create a mechanism for workers to submit their grievances anonymously.
Management Systems. Suppliers must adopt a management system to ensure compliance with applicable laws and this Supplier Code and to facilitate continual improvement.
Management Accountability and Responsibility. Suppliers must have designated representatives responsible for implementing management systems and programs that oversee compliance with applicable laws as well as this Supplier Code. Senior management must routinely review and assess the quality and efficiency of the management systems and programs. OB Desk Inc. also expects our suppliers to hold their suppliers and subcontractors to the standards and practices covered by this Supplier Code.
Risk Management. Suppliers must establish a process to identify the environmental, health, safety, and ethical risks associated with their operational and labor practices. In addition, management must develop appropriate processes to control identified risks and ensure regulatory compliance.
Training. Management must maintain appropriate training programs for managers and workers to implement the standards in this Supplier Code and to comply with applicable legal requirements.
Communication and Worker Feedback. Suppliers must clearly and accurately communicate and educate workers about OB Desk Inc. policies, practices, and expectations. OB Desk Inc. may require suppliers to post this Supplier Code in a location accessible to their workers (translated into the appropriate local language(s)). In addition, OB Desk Inc. encourages suppliers to partner with us to implement a process to assess workers' understanding of the standards and practices covered by this Supplier Code.
Documentation and Records. Suppliers must create, retain, and dispose of business records in full compliance with applicable legal requirements along with appropriate confidentiality to protect privacy.
Environment. Our suppliers must comply with applicable environmental laws. OB Desk Inc. encourages our suppliers to implement systems that are designed to minimize the impact on the environment by the supply chain system, the production process, and the products themselves.
Environmental Permits and Recordkeeping. Suppliers must obtain and keep current all required environmental permits, approvals, and registrations and follow applicable operational and reporting requirements.
Effective Management and Disposal of Hazardous Substances. Suppliers must effectively identify and manage the safe handling, movement, storage, and disposal of chemicals and other substances that pose a threat to the environment, including providing workers with appropriate training on the safe-handling and disposal of hazardous substances. Suppliers must also monitor and control wastewater or solid waste generated from operations before disposing in accordance with applicable laws. In addition, suppliers must characterize, monitor, control, and treat regulated air emissions before discharging in accordance with applicable laws.
Continuous Improvement. OB Desk Inc. encourages our suppliers to continuously improve and reduce waste. OB Desk Inc. welcomes suggestions and feedback from its suppliers to improve OB Desk Inc.'s own operations and processes.
Conflict Minerals. OB Desk Inc. is committed to avoiding the use of minerals that have fueled conflict in the Democratic Republic of the Congo or an adjoining country. We expect suppliers to support our effort to identify the origin of designated minerals used in our products.
Corrective Action. Suppliers’ compliance with this Supplier Code is subject to OB Desk Inc.’s review, including third-party auditing of work and residential facilities and conducting confidential worker interviews. Suppliers must provide prompt access to their facilities and workers during any audit. We require suppliers to promptly provide a detailed remediation plan and take corrective actions for deviations from this Supplier Code, and OB Desk Inc. will track suppliers’ remediation efforts. OB Desk Inc. may (without liability) terminate its relationships with any supplier found to be in violation of this Supplier Code, including for denying prompt access to our auditors.
OB Desk Inc. employees who manage our manufacturing supply chain receive training on our Supplier Code and audit requirements. OB Desk Inc. also has a training program for our manufacturers on our Supplier Code and supply chain standards. Our independent third-party auditors periodically conduct both unannounced and announced on-site audits of our manufacturers. OB Desk Inc. aspires to audit our manufacturers before OB Desk Inc. begins ordering products, and we require all of our suppliers to meet the standards in our Supplier Code as a condition of doing business with us. OB Desk Inc.'s manufacturing purchasing agreements require our suppliers to comply with supply chain standards, which, among other things, include laws regarding slavery and human trafficking. OB Desk Inc. employees are subject to internal accountability standards, which include disciplinary measures up to and including termination, for failing to follow OB Desk Inc. requirements regarding our audits.
